Agenda Item Title:  Approve Agreement with Palisades Builders, Inc., to Construct the District Employee Housing Project (10 minutes)

Background: 

On September 2019, the Board approved the Master Development Agreement for Ground Lease and Design, Construction and Management of District Employee Housing Project with Mountain View Owner, LLC ("MVO") (“Development Agreement”). On or about March 5, 2020, the Board approved Amendment No. 1 to the Development Agreement, extending the time frame to finalize closing the transaction. The Development Agreement stated, "Developer and District agree to enter into a three party Construction Agreement with a mutually agreeable California licensed general contractor ("Contractor") for the construction of the Employee Housing pursuant to a Construction Agreement, including the terms indicated in Exhibit H ("Construction Agreement")." MVO recently requested that the District instead enter into a two-party agreement with the Contractor, now identified as Palisades Builders, Inc. ("Palisades"). 

Agreement will be brought at Board of Trustees meeting.
